1. About Us and the Service

1.1 Cynare is a limited company registered in the UK


1.2 The services available via this part of Cynare’s Website (the "Services") are provided by Cynare


1.3 The use of the Services are subject to the following Terms and Conditions which each user ("the User") should read carefully. By using the Services, the User agrees to be legally bound by these Terms and Conditions.


1.4 If you have any queries or concerns regarding our Client Portal please speak to your usual contact.

 

2. General Terms and Conditions of Business and Privacy Notice

2.1 Use of the Cynare Client Portal is subject to the existing General Terms and Conditions of Business and Privacy Notice as detailed in the Engagement Pack between us.

 

3. Security


3.1 The Cynare Client Portal is a secure application which includes user authentication, access controls, user permissions, 256 bit SSL data encryption and a secure protected database. Although these facilities provide a high level of protection, total security of the Website cannot be guaranteed.

 

4. Password(s)


4.1 You agree to be responsible for all User passwords allocated to you and your nominated users (“Sub-Users”).


4.2 You and your Sub-Users must keep the passwords strictly confidential and notify us immediately if:

  • any are lost or stolen;
  • disclosed to anyone who is not a User;
  • any User leaves your employment;
  • you believe the security has been threatened in any way.

 

5. Users, Sub-Users and Document Approval

5.1 You are responsible for managing any Sub-User and their privileges to the Client Portal. You agree to bind each Sub-User to these same Terms and Conditions.

5.2 Documents uploaded to the Client Portal relating to statutory/regulatory filings (such as Self-Assessment returns, CT600, Companies House documents, Accounts, VAT return) must be approved by the addressee or appropriate officer of a legal entity. The correct User must be logged into the Portal for their approval. We accept no responsibility to monitor User approval activity through the Client Portal.

 

6. Disengagement


6.1 If you cease to be a client of Cynare we will remove your access to the Cynare Client Portal.

 

7. Limitation of Liability


7.1 The Terms and Conditions should be read carefully as it contains exclusions and limitations of our legal responsibility (our "liability") in connection with the User’s use of the Services and this Website. However nothing in these Terms and Conditions, and in particular within this section, will ever limit or exclude our liability for fraud, for death or personal injury, or any other type of liability that cannot be excluded by law.


7.2 You agree that:

  • While we take reasonable steps to keep the Services and this Website available, we will not be liable for any damages or losses resulting from the User’s inability to use the Services or this Website.
  • We cannot guarantee that the Services or this Website will be uninterrupted or entirely error free. Because of the nature of the Internet, the Services and this Website are provided on an "as available" basis. In particular, we will not be liable to the User if events or circumstances beyond our reasonable control mean the Services or this Website are unavailable or malfunction. We reserve the right to suspend the Services for essential maintenance.
  • We have no responsibility for, or control over, the Website of any third party which can be accessed from this Website, and accordingly we can accept no liability whatsoever in relation to any third party website.

 

8. Jurisdiction and Governing Law


8.1 These Terms and Conditions and the User’s use of this Website are governed by the laws of England and Wales and any disputes will be decided only by the Courts of England and Wales.

 

9. Use of this Website


9.1 The rights of the designs, pictures, logos, photographs and content of this Website are owned by or licensed to Cynare. They are protected by copyright, trademarks and other intellectual property rights.


9.2 The User may not copy, reproduce, modify, distribute, republish, display, post or transmit any part of this Website without the written permission of Cynare. The User may view or print individual pages only for the User’s own use.
